Recent Developments in Takeover Law: An Overview of Relevant Case Law and Legislative Changes Affecting Transaction Practice
For a long time, takeover law remained relatively quiet, which may come as a surprise given the frequency of regulatory changes in other capital markets-related areas. Over the past two years, however, momentum has also increased in the field of takeover law.
Recent decisions by the German Federal Court of Justice (Bundesgerichtshof, BGH) have resolved disputes that had persisted for years, while new legislation relating to delistings is having far-reaching implications for transaction practice.
In addition, BaFin has, for the first time, provided written guidance on its administrative practice regarding public takeover offers. At the same time, ongoing discussions are bringing further takeover law reform initiatives back into focus.
Dr. Lars-Gerrit Lüßmann and Ulrich Reers will present these recent developments and explain their implications for transaction practice.
